Legal Counsel (Job Number: 194544W-01)
Provide legal research supportto the counseling of new subject matters, especially matters in thestrictly regulated areas, such as the regulatory requirements in doingseed business and/or setting up/acquiring seed legal entities, the variouscertificate/approval requirements for the successful operation of plantsin China and Taiwan and the intensive enforcement of anti-trust andanti-bribery by Chinese government.
Set up and implement agreementmanagement process and prepare bilingual agreements/templates for China byleveraging best practices of the three heritage companies; develop and/orimprove bilingual policies/guidelines/processes to meet local businessneeds and at the same time, comply with global practice; prepare, reviewand follow up on simple or routine daily agreements, like CDA, materialevaluation agreement, distribution agreement, sales agreement andpurchasing agreement; maintain compliance activities in Greater China; andadvise a small group of clients on a certain area of his/her expertise asappropriate.
Follow up on thebusiness-critical project development from procedure perspective and workwith global counsel/paralegals, outside counsel and business colleagues topush forward the progress of the projects, such as M&A project and JVproject.
Work with China BrandProtection team on efforts of anti-counterfeiting activities in Chinaand/or related to China and on trademark applications and protections,like opposing and/or invalidating other’s trademarks, to best protectpesticide registrations and trademarks in China.
Support enforcement andlitigations in China, including coordinate investigation into suspectedinfringement of IP rights, collect and prepare evidence/informationnecessary for the (potential) enforcement/litigation, facilitate theenforcement/litigation procedures, and file case materials.
Maintain all the legal entitiesin China, Hong Kong and Taiwan (excluding Pioneer legal entities).The work could include the internal communications to select and approvethe new directors/legal representative, the preparation and execution oflegal documents, and the submission of and coordination with localgovernment bureaus regarding the changes of legal entities.
Handle legal bills and relatedcommunications with outside counsel/firms/colleagues in headquarters.
Manage legal systems, includingeCounsel, BluePrint, Memotech and Key, so that the appropriate informationis entered and well maintained in the systems.
Provide administrative support.
Bachelor degree in law from toptier university; admitted Chinese Bar;
At least 2 years relevant legalexperience obtained in large growth oriented multi-national or top tierlaw firm (experience with a United States parent company is an advantage,but not essential);
Experience with legal research,legal writing, investigation techniques, corporate and business law, HRlaw, and litigation;
Knowledge of laws, regulations,government policies, court procedures, etc. with an ability to performlegal research and to analyze legal documents for accuracy;
Must be willing to work with ahands-on approach, strong oral and written communication skills (bothChinese and English);
Ability to prioritize and workunder pressure and a tight schedule;
