Commercial Attorney (Job Number: 190186W-01)
DuPont is seeking an experienced Commercial Counsel. This is a key role within the Legal function of the Specialty Products Division serving the Transportation and Advanced Polymers business. This Position will require a person of vision, integrity and commitment, as well as substantial leadership and influencing experience, maturity and judgment. Ability to collaborate with business partners is paramount. The successful candidate will be self-motivated and will demonstrate an ability and willingness to work independently and as part of a team. Practice experience within a major law firm and as in-house counsel is preferred. Position location is Wilmington, Delaware but Michigan locations will also be considered for qualified candidates with appropriate industry experience.
The person filling this role will have a strong focus on negotiation of sales and supply contracts, distribution agreements and evaluation of merger and acquisition opportunities. Experience in manufacturing, particularly in the automotive, aviation, manufacturing supply and medical device areas is desired.
Must be self-starter able to work independently; this is not a “second chair” position.

In order to be qualified for this role, you must possess the following:
Minimum of 7-10 years’ experience in broad range of commercial law and client counseling; J.D. Degree and Law License.
Draft, review, and negotiate a wide variety of commercial agreements to meet business and legal requirements, including sales, purchasing agreements, distribution, confidentiality agreements and requests for proposals.
Collaborate with sales, marketing, finance, and other departments to analyze business, regulatory and legal contract terms.
Actively counsel the senior sales and field finance staff members on commercial law, antitrust, fraud & abuse, privacy (including data privacy) and related topics.
Support domestic and international merger, acquisition, divestiture, joint ventures and other corporate transactional activities.
Familiarity with sales organizations and distribution agreements.
Ability to coordinate with intellectual property professionals for product and market strategy issues.
The following skill sets are preferred by the business unit:
Experience with negotiation in the aerospace, automotive, manufacturing supply and/or and electronic materials space.
Experience in both top tier law firm and in-house manufacturing environment.
Interest and aptitude for a highly technical product and manufacturing space.
